NGO Partnership for Three Seas Initiative - Who we are?

We are the federation of Non-Government Organisations from all around the Three Seas Region.
Our mission is to promote 3SI ideas in every country of the region through promotional and educational events. Thanks to the establishment of the federation, we have the opportunity to implement various multinational endeavors. Joining the federation opens the door to completely new possibilities. You will obtain access to projects at an international level. A massive amount of experts in a variety of areas and experience in event management,youth education, and multinational cooperation are open for collaboration with future partners. STATUTE
ASSOCIATIONS NGO PARTNERSHIP FOR THREE SEAS INITIATIVE

General provisions
- The Association is called: NGO Partnership for Three Seas Initiative later in statute called Association.
- Headquarter being located in city of Gliwice.
- The Association is bound for unlimited time. It has legal personality. It operates pursuant to the provisions of the Act of April 7, 1989, Law on Associations (Journal of Laws of 2001, No. 79, item 855, as amended) and this statute.
- In order to achieve its statutory objectives, the association may operate in other countries, respecting the local law.
- The association may belong to other national and international organizations with similar goals.
- The activity of the Association is based primarily on the voluntary work of its members. The association may employ employees to conduct its affairs.

Goals and means of action
- The aim of the Association is to disseminate knowledge about the Three Seas Initiative in the international arena, as well as to intensify contacts between no-governmental organizations operating in the Initiative.
- The aim of the Association is to disseminate knowledge about Poland’s involvement in the international arena as part of regional cooperation and in the context of the Three Seas Initiative.
- The Association pursues ots goals primarily through:
- promoting Three Seas Initiative among children, youth, adults and seniors;
- organization of stationary events
- promoting the vision of the Three Seas in accordance with the Polish raison d’état among the inhabitants, in particular young people;
- maintaining bilateral and multilateral contacts between young people from the Three Seas countries;
- North – South youth cooperation in Europe;
- meetings of young people in the form of workshops;
- social campaigns with the use of social-media.

Members – rights and obligations
- Natural and legal persons may be members of the Association. A legal person may only be a supporting member of the Association.
- The association has members:
- founders;
- ordinary;
- supporters;
- honorary.
- The founding members are the persons who led to the registration of the Association and the adoption of this statute. Founding members become ordinary members after registering the Association.
- Ordinary members of the association are accepted by the Board of the Association. An ordinary member of the Association can be any natural person who submits a membership declaration in writing.
- He becomes an ordinary member after submitting a written declaration based on a resolution of the Association’s Management Board.
- An ordinary member may be a foreigner who does not have a place of residence in the territory of the Republic of Poland.
- Ordinary members have the right to:
- passively and actively participate in elections to the authorities of the Association;
- use the achievements, property and all forms of activity of the Association;
- participate in meetings, lectures and events organized by the Association;
- submit motions regarding the activities of the Association.
- Ordinary members are obliged to:
- participate in the activities of the Association and achieve its goals;
- abide by the statute and resolutions of the Association’s authorities;
- regular payment of contributions.
- A supporting member of the Association may be a natural or legal person declaring financial, material or substantive assistance in achieving the Association’s goals.
- He becomes a supporting member after submitting a written declaration based on a resolution of the Management Board.
- A supporting member may be a legal person that does not have its seat in the territory of the Republic of Poland, but acts on the basis and within the scope of the law of the country of its seat.
- An honorary member of the Association may be a natural person who has made an outstanding contribution to the activities and development of the Association.
- Honorary members are admitted by the General Meeting at the request of 10 members of the Association.
- Supporting and honorary members do not have passive and active voting rights, however, they may participate in an advisory capacity in the statutory authorities of the Association, and otherwise have the same rights as ordinary members.
- The supporting member is obliged to fulfill the declared benefits, to comply with the statute and resolutions of the Association’s authorities.
- Honorary members are exempt from membership fees.
- Membership is forfeited as a result of:
- a written resignation submitted to the Management Board;
- exclusions by the Management Board;
- due to breach of the statute and failure to comply with the resolutions of the Association’s authorities;
- due to repeated failure to participate in the works of the Association;
- due to non-payment of contributions for a period of six months;
- upon a written request of three members of the Association.
- loss of civil rights by virtue of a final court judgment;
- death of a member and loss of legal personality by legal persons.
- The interested party has the right to appeal to the General Meeting of Members against the resolution of the Management Board on admission to an association or termination of membership. The resolution of the general meeting of members is final.

Association authorities
- The authorities of the Association are:
- the General Meeting of Members;
- the Management Board;
- the Audit Committee;
- Meeting of Partners.
- The term of office of all elected authorities of the Association is three years, and they are elected by open voting by an absolute majority of votes.
- Members elected to the governing bodies of the Association may perform the same function for no longer than two terms.
- Resolutions of all the authorities of the Association are passed by a simple majority of votes in the presence of at least half of the members entitled to vote, unless further provisions of the statute provide otherwise.
- The General Assembly of Members is the highest authority of the Association. The following persons take part in the General Meeting of Members:
- with a deciding vote – ordinary members;
- in an advisory capacity – supporting and honorary members and invited guests.
- The General Meeting of Members may be ordinary or extraordinary.
- The Ordinary General Meeting of Members is convened at least once a year by the Management Board of the Association. The date and place of the meeting is announced by the Management Board to all members at least 7 days before the date of the meeting. The deliberations may take place with the use of means of direct distance communication
- An extraordinary General Meeting of Members may be held at any time. It is convened by the Board on its initiative, at the request of the Audit Committee or a written request of at least 1/3 of the total number of ordinary members of the Association. The deliberations may take place with the use of means of direct distance communication
- Resolutions of the General Meeting of the Association are passed by an absolute majority of votes in the presence of at least half of the total number of members. Voting is open.
- The powers of the General Meeting include:
- defining the main directions of the activities and development of the Association;
- election and dismissal of all authorities of the Association;
- granting a vote of approval to the Management Board at the request of the Audit Committee;
- considering reports on the activities of the Management Board and the Audit Committee;
- adopting the budget;
- deciding on the amount of membership fees and all other benefits for the Association;
- adopting resolutions on admitting an honorary member;
- considering and approving the reports of the Association’s authorities;
- considering applications and postulates submitted by members of the Association or its authorities;
- considering appeals against the resolutions of the Management Board;
- adopting a resolution to dissolve the Association and allocate its assets;
- adopting resolutions on any matter brought to the agenda, in all matters not reserved for the competence of other authorities of the association.
- The Management Board is appointed to manage the entire activities of the Association in accordance with the resolutions of the General Meeting of Members, and represents the Association outside.
- The Management Board consists of 3 people, including the president and one vice president. The president and vice-president are elected by the Management Board from among its members.
- Meetings of the Management Board are held as needed, however, at least once a month. The meetings of the Management Board are convened by the President. A meeting may be held using means of direct remote communication
- The competences of the Management Board include:
- achieving the goals of the Association;
- implementing the resolutions of the General Meeting of Members;
- preparation of work plans and budget;
- managing the assets of the Association;
- adopting resolutions on purchasing, selling or encumbering the property of the Association;
- representing the Association outside;
- convening the General Meeting of Members;
- admitting and deleting members.
- The Audit Committee is appointed to control the activities of the Association.
- The Audit Committee consists of 3 people, including the chairman, deputy and secretary.
- The powers of the Audit Committee include:
- controlling the activities of the Management Board;
- submitting inspection requests at the General Meeting of Members;
- the right to submit a request to convene the General Meeting of Members and the meeting of the Management Board;
- submitting applications for a discharge for the authorities of the Association;
- submitting reports on its activities at the General Meeting of Members.
- The Partners’ Meeting consists of 12 members, with one member representing one of the Three Seas partner countries.
- Only a non-governmental organization can become a partner.
- The Meeting of Partners meets at least once a year, with the possibility of conducting the meeting using means of direct remote communication.
- The competences of the Partners’ Meeting include:
- determining the direction of the development of the Association;
- advising on matters carried out by the Association;
- the possibility of financing the activities of the Association.

Property and funds
- The assets of the Association are created:
- from membership fees;
- donations, inheritance, bequests;
- donation and public donation.
- Any money can only be kept on the Association’s account.
- The Association manages its finances in accordance with applicable regulations.
- Decisions on the purchase, sale and encumbrance of the Association’s assets are made by the Board.
- The signatures of two members of the Management Board acting jointly are required to conclude contracts, grant power of attorney and make other declarations of will, in particular in property matters.

Final Provisions
- A resolution on amending the statute and a resolution on dissolving the Association is adopted by the General Meeting of Members by a qualified majority of votes – (2/3), in the presence of at least half of those entitled to vote.
- By adopting a resolution on dissolving the Association, the General Meeting of Members determines the manner of its liquidation and the purpose of the Association’s assets.
- In matters not regulated in these statutes, the provisions of the Law on Associations shall apply.
